1. Acceptance and business use

By creating an account, joining the beta or otherwise using MIM Lead Organizer (“MIM”, the “Service”), you agree to these Terms.

MIM is currently operated by Jose Miguel Costa Moreira in the Netherlands.

MIM is offered solely for business and professional use. It is not offered as a consumer product. You must be at least 18 years old. If you use MIM for a company or other organisation, you confirm that you are authorised to use the Service for that organisation.

2. The Service

MIM is a local-first field-sales organisation and decision-support application. It helps users organise business contacts, understand geographic relationships, prepare visits and exhibitions, and export or print selected information.

MIM is not a system of record, accounting system, navigation service, legal/compliance service or guaranteed source of business information. You remain responsible for your official CRM records, professional judgment and verification of information important to your business.

3. Accounts and authentication

  • You must provide accurate account information and keep access to your account secure.
  • MIM may use Google Sign-In or another supported identity provider for authentication.
  • You are responsible for activity under your account except to the extent caused by MIM’s breach of these Terms or applicable law.
  • You must promptly notify MIM if you reasonably believe your account has been compromised.
  • You may not share accounts in a way that circumvents device, user or access restrictions.

4. Beta access

The current version of MIM is a pre-commercial beta. Features may be added, changed, removed or temporarily unavailable as the product is tested and improved.

Unless MIM expressly agrees otherwise in writing, beta access is provided without charge and does not create a right to permanent free access or to any particular future feature set.

MIM may limit the number of beta participants, end a beta account, or withdraw a beta feature where reasonably necessary for security, abuse prevention, technical reasons or product development.

5. Licence and device limits

Subject to these Terms and your current access entitlement, MIM grants you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service for your internal business purposes.

Beta access may be subject to device limits. The current standard configuration is designed for up to two active devices per account. MIM may provide tools to deactivate or reset devices.

6. Customer Data

As between MIM and you, you retain your rights in the leads, contacts, notes, addresses, coordinates, exhibition information and other business information you enter or import into MIM (“Customer Data”). MIM does not acquire ownership of Customer Data merely because it is entered into the Service.

You are responsible for:

  • having an appropriate legal basis, permission or authority to collect, store and use Customer Data;
  • the accuracy, quality and lawfulness of Customer Data;
  • complying with applicable privacy, employment, confidentiality, marketing and communications rules;
  • ensuring that you are authorised to access and use the Customer Data you place in MIM;
  • maintaining adequate independent backups of important business information.

Do not use MIM to store special-category personal data, criminal-conviction data, payment-card data, passwords/authentication secrets or other highly sensitive information unless MIM expressly supports that use.

7. Local-first storage and backups

MIM is designed so that the working lead database is normally stored locally in your browser/device rather than as a central MIM-hosted lead database.

Local data can be lost. Browser/device data may disappear if a device is lost, a browser profile is removed or reset, local storage is cleared, software fails or another event occurs outside MIM’s control.

You are responsible for maintaining appropriate backups and exports. Optional Google Drive backup is a convenience feature and does not replace a sensible independent backup strategy. MIM does not guarantee that a particular local or third-party backup can always be recovered.

8. Optional external services

MIM may integrate with or link to third-party services such as Google Sign-In, Google Drive, mapping/geocoding services, search/enrichment services and, in the future, payment providers.

When you deliberately use a feature that requires an external service, you authorise MIM to transmit the minimum information reasonably necessary to perform that requested function.

Third-party services are governed by their own terms, privacy practices and availability. MIM does not control third-party services and does not guarantee their continued availability or the accuracy of their information.

9. Acceptable use

You must not, and must not permit others to:

  • use the Service unlawfully or in a way that infringes another person’s rights;
  • store or process information you are not authorised to use;
  • attempt to gain unauthorised access to MIM, another account or related systems;
  • introduce malware, disrupt the Service or probe security controls without written authorisation;
  • circumvent licensing, device or access restrictions;
  • resell, sublicense or commercially provide the Service to third parties without written permission;
  • copy, modify, reverse engineer, decompile or disassemble the Service except where mandatory law prevents that restriction;
  • use scraping or automated extraction against MIM or third-party services in violation of law or applicable third-party terms;
  • use MIM to facilitate unlawful spam, harassment or unsolicited communications.

10. Intellectual property and feedback

MIM and its licensors retain all intellectual-property rights in the Service, including software, interface design, branding, documentation and related materials. Except for the limited licence in these Terms, no rights are transferred to you.

If you voluntarily provide suggestions, ideas or feedback, you grant MIM a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or payment, provided MIM does not publicly identify you as the source without permission.

11. Availability, maintenance and changes

MIM aims to provide a reliable Service but does not provide a service-level agreement during the beta. The Service may be unavailable for maintenance, updates, security work, provider outages or events beyond MIM’s reasonable control.

Because this is a beta, MIM may modify features to improve, secure or maintain the Service. We will try to avoid changes that unnecessarily interfere with access to locally stored Customer Data.

12. Disclaimers

To the maximum extent permitted by law, the beta Service is provided on an “as available” basis. MIM does not warrant that it will be uninterrupted, error-free or suitable for every workflow.

Maps, coordinates, company information, enrichment results, search results, routes, distances and third-party information may be incomplete, outdated or inaccurate. You must independently verify information where accuracy matters.

MIM does not guarantee sales results, customer acquisition, revenue, meeting outcomes or other commercial results.

13. Limitation of liability

To the maximum extent permitted by applicable law, MIM will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, business, contracts, opportunity, goodwill, anticipated savings or data arising out of or relating to the beta Service.

Because the current beta is provided without charge, MIM’s aggregate liability arising out of or relating to the beta Service will not exceed EUR 100, except to the extent a different limitation is required by mandatory law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including where applicable liability arising from fraud, intent, deliberate recklessness or another category that mandatory law does not permit us to limit.

14. Customer indemnity

To the extent permitted by law, you will indemnify MIM against third-party claims and reasonable costs arising from Customer Data you were not entitled to collect, use or disclose, your unlawful use of the Service, or your infringement of a third party’s rights, except to the extent the claim was caused by MIM’s own breach of these Terms or applicable law.

15. Suspension and termination

MIM may suspend or restrict access where reasonably necessary to address a security incident, suspected fraud or abuse, unlawful use, a material breach of these Terms, or risk to MIM, other users or third parties.

You may stop using MIM at any time. Ending your MIM account does not automatically delete Customer Data stored locally on your devices, files you previously exported, or backups stored in your Google Drive.

16. Privacy

MIM processes personal data as described in the Privacy Policy. Where MIM would in the future be legally required to act as a processor of personal data on a customer’s behalf, an appropriate data-processing agreement may be offered where required.

17. Future paid subscriptions

MIM is currently in beta and does not require a paid subscription unless a separate written offer says otherwise.

Before commercial paid subscriptions are enabled, MIM may publish updated Terms covering final prices, billing periods, renewal, cancellation, refunds and the payment provider or merchant of record. Those updated commercial terms will apply only after they are made available and accepted as required.

18. Governing law and disputes

These Terms and any non-contractual obligations arising from them are governed by Dutch law, without regard to conflict-of-law rules.

To the extent permitted by mandatory law, disputes will be submitted to the competent court in the Netherlands. Before starting court proceedings, the parties will first attempt in good faith to resolve the dispute through written notice and reasonable discussion.

19. General terms

  • Entire agreement. These Terms and the Privacy Policy form the agreement concerning the beta Service.
  • Severability. If a provision is unenforceable, it will be interpreted or reduced to the minimum extent necessary and the remaining provisions will continue.
  • No waiver. Failure to enforce a provision does not waive it.
  • No partnership. These Terms do not create an employment, agency, partnership, franchise or joint-venture relationship.
  • Electronic communications. You agree that notices about the Service may be provided electronically, including by email or in-product notice, where permitted by law.
